Good governance is the foundation of a credible business council. At NGBC, our governance structure is designed to be transparent, independent, and permanently grounded in private sector leadership. This page explains how we are organised, who is responsible for what, and how decisions are made.
GOVERNANCE OVERVIEW
NGBC operates through four interconnected governance bodies, each with a defined role and clear accountability. Together, they ensure that the Council remains responsive to its members, fiscally responsible, and focused on its mandate.

The General Assembly
The Supreme Decision-Making Body
The General Assembly is the highest authority within NGBC. It brings together all members of the Council in an annual meeting to review the state of the organisation, ratify major decisions, elect or affirm key leadership positions, and set the strategic direction for the year ahead. Every member of NGBC — regardless of membership category — has a stake in the General Assembly. It is the moment when the Council belongs most visibly to the people it serves, and the occasion when the leadership of NGBC is held most directly accountable.

Board of Trustees
Strategic Oversight — Independent by Design
The Board of Trustees provides strategic governance and oversight for NGBC. It is responsible for ensuring that the Council fulfils its mandate, maintains its values, manages its resources responsibly, and remains independent and credible. A defining feature of the Board of Trustees is its composition: no government officials serve on the Board. This is intentional and fundamental. By restricting Board membership to private sector representatives, NGBC ensures that its governance remains commercially driven, free from political interference, and genuinely focused on the interests of business members.

• Providing strategic direction for NGBC
• Ensuring accountability and responsible stewardship of resources
• Safeguarding the independence and credibility of the Council
• Approving major programmes, partnerships, and policy positions
Advisory Committee
Expert Guidance. Fresh Perspective.
The Advisory Committee brings together a broader group of advisors — including sector experts, regional trade specialists, development finance professionals, and experienced diplomats — to provide strategic guidance and technical input to the Council. The Advisory Committee does not govern NGBC; it advises. Its role is to ensure that NGBC's programmes, advocacy positions, and sector strategies are informed by the best available knowledge and expertise. It meets biannually, allowing the Council to benefit from fresh perspective at key points in the programme calendar.
Meeting Frequency: Biannual (twice per year)
The Secretariat
Where Plans Become Action
The Secretariat is the operational heart of NGBC. It is responsible for the day-to-day management of the Council's activities — from member services and event organisation to communications, advocacy coordination, and stakeholder relations. The Secretariat is managed by Toub Associates Limited in collaboration with the High Commission of The Gambia in Nigeria, combining operational expertise with diplomatic connectivity. The Secretariat is led by the Secretary-General, who serves as the Council's chief executive and public face
The Secretariat’s responsibilities include:
• Managing member engagement and onboarding
• Organising events, trade forums, and capacity-building programmes
• Maintaining communications and publications
• Coordinating with government, ECOWAS bodies, and development partners
• Implementing the strategic direction set by the Board of Trustees
• Day-to-day financial and administrative management
